This policy is part of our Terms of Service and is equally binding.

IF YOU DO NOT AGREE TO ALL TERMS, YOU ARE PROHIBITED FROM USING ADTOM.

Your use of Adtom constitutes acceptance of all policies, including this one.

REFUND AND CANCELLATION POLICY

Last Updated: December 17, 2025

This Refund and Cancellation Policy ("Policy") governs refunds and cancellations for Adtom services provided by Axiomiq Automation Private Limited ("Company," "we," "us," or "our").

This Policy is part of and subject to our Terms of Service at www.adtom.ai/terms. By subscribing to Adtom, you agree to this Policy.

1. GENERAL REFUND POLICY

1.1 Non-Refundable Nature

All subscription fees paid to Adtom are NON-REFUNDABLE except as expressly provided in this Policy.

This includes:

- Monthly subscription fees

- Quarterly subscription fees

- Annual subscription fees

- Add-on service fees

- Consultation and Implementation service fees (except as specified in Section 5)

- Agency service fees

1.2 Rationale

Due to the nature of software-as-a-service (SaaS), immediate access to Services, and resource allocation upon subscription activation, fees are generally non-refundable.

2. SUBSCRIPTION PLANS AND BILLING

2.1 Plan Types

Adtom offers subscription plans with the following billing frequencies:

- Monthly: Billed every 1 month

- Quarterly: Billed every 3 months

- Annual: Billed every 12 months

2.2 Ad Spend Bracket Billing

Subscription fees are determined by your Ad Spend Bracket:

- Ad Spend is calculated as the average of the last a recent period' total ad spend across all connected advertising platforms (Google Ads, Meta Ads, etc.)

- Ad Spend Brackets are defined at www.adtom.ai/pricing

- If your Ad Spend Bracket increases during your billing period, we will:

  a) Calculate remaining service days at the current rate

  b) Charge a prorated amount for the remaining days at the new bracket rate

  c) Begin new billing cycle at the new rate

- If your Ad Spend Bracket decreases, adjustments apply at your next renewal (not mid-cycle)

2.3 Automatic Renewal

- Subscriptions automatically renew at the end of each billing period

- You will be charged using your payment method on file

- Renewal rates may change with at least 30 calendar days' advance notice

- Cancel before renewal date to avoid charges

3. FREE TRIAL POLICY

3.1 Trial Eligibility

- Free trials are offered at our discretion

- Limited to ONE trial per Master Account per lifetime

- Trial period is specified at signup (typically 7 or 14 days)

3.2 Trial Terms

- No payment required during the trial period

- Full or limited access to features (as specified in trial offer)

- May require payment method on file for validation

3.3 Trial Cancellation

- Cancel anytime during the trial period to avoid charges

- Cancellation methods:

  a) Account Settings > Billing > Cancel Subscription

  b) Email: hello@adtom.ai (Subject: Cancel Trial)

- If NOT canceled before trial ends, your subscription automatically converts to a paid plan

- First payment will be charged immediately upon trial expiration

3.4 No Refunds for Forgotten Trial Cancellations

If you forget to cancel your trial and are charged for the first billing period:

- No refund will be issued

- You may cancel immediately to prevent future charges

- Access continues until the end of the paid period

Exception: If you contact us within 24 hours of the charge, we may, at our sole discretion, issue a refund.

4. REFUND ELIGIBILITY

Refunds are granted ONLY in the following circumstances:

4.1 Annual Subscription Refunds

If you purchase an annual subscription, you may request a FULL refund if:

- You submit a written request within 24 hours of your initial purchase

- Email: hello@adtom.ai (Subject: Annual Refund Request)

- Include: Order number, purchase date, and reason for refund

After 24 hours from purchase, annual subscriptions are NON-REFUNDABLE. You will retain access for the remainder of your paid term.

4.2 Monthly and Quarterly Subscriptions

Monthly and quarterly subscriptions are STRICTLY NON-REFUNDABLE.

- No refunds are issued, regardless of when you cancel

- Cancellations take effect at the end of the current billing period

- Access continues until the end of the paid period

4.3 Duplicate Billing Errors

If you are charged multiple times due to a system error:

- Contact hello@adtom.ai within 15 calendar days of the duplicate charge

- Provide: Transaction IDs, amounts, and dates

- We will investigate and refund verified duplicate charges within 10 business days

4.4 Service Unavailability

If the Services are unavailable for more than 72 consecutive hours due to our fault (not including third-party platform outages or force majeure):

- You may request a prorated credit for the downtime

- Credits are issued to your account, not as cash refunds

- Request credits within 15 calendar days of service restoration: hello@adtom.ai

4.5 Unauthorized Charges

If your account was accessed without authorization and charges were made:

- Report immediately to hello@adtom.ai

- Provide evidence of unauthorized access

- We will investigate and may issue refunds for verified unauthorized charges

- You are responsible for securing your account credentials

4.6 Exceptional Circumstances

Refunds may be considered on a case-by-case basis for:

- Significant service failures attributable to Adtom

- Documented billing errors

- Legal or regulatory requirements

Submit requests to hello@adtom.ai with detailed explanation and supporting documentation. Decisions are at our sole discretion.

4.7 NO REFUNDS FOR:

- Change of mind or buyer's remorse

- Unused time or features within a billing period

- Dissatisfaction with advertising results or ROI

- Third-party platform actions (Google Ads, Meta Ads suspensions, policy violations, etc.)

- Learning curve or difficulty using the platform

- Failure to use the Services

- Decision to switch to a competitor

- Ad Spend Bracket increases during billing period

5. CONSULTATION AND IMPLEMENTATION SERVICES

If you purchase Consultation or Implementation Services, the following refund and cancellation terms apply:

5.1 Initial Refund Window

If you purchase a Consultation or Implementation package:

- You may request a FULL refund within 48 hours of purchase

- You must NOT have attended any sessions

- Email: hello@adtom.ai (Subject: Consultation/Implementation Refund)

5.2 Session Cancellation and Rescheduling

- Cancel or reschedule at least 24 hours before your scheduled session time

- Provide written notice to hello@adtom.ai

- Late cancellations (less than 24 hours' notice) result in forfeited session (no refund)

- No-shows (failure to attend without notice) result in forfeited session (no refund)

5.3 Late Arrivals

- Consultation sessions: Late arrival of 10+ minutes may result in forfeited session

- Implementation sessions: Late arrival of 15+ minutes may result in forfeited session

- Decisions at discretion of service provider

5.4 Emergency Exceptions

Valid emergencies (determined at our sole discretion) may allow rescheduling without penalty:

- Medical emergencies

- Family emergencies

- Natural disasters

- Other unforeseen, unavoidable circumstances

Provide documentation if requested.

5.5 Paused Subscriptions

If you do not schedule a session within 30 calendar days of your payment date:

- We will automatically pause your subscription

- You will be contacted at your email address on file

- Subscription resumes when you notify us in writing

- No refunds for paused periods

5.6 No Refunds for Completed Sessions

Once a Consultation or Implementation session is completed, no refunds will be issued for that session, regardless of satisfaction.

6. THE AGENCY BY ADTOM REFUND POLICY

If you subscribe to The Agency by Adtom (managed advertising services):

6.1 Management Fee Refunds

- You may request a refund within 24 hours of your initial purchase

- After 24 hours, Management Fees are NON-REFUNDABLE

- Billing occurs monthly, quarterly, or annually depending on your plan

6.2 Media Spend Fee

- Media Spend Fees are calculated retroactively based on actual ad spend

- Media Spend Fees are NON-REFUNDABLE

- Charged monthly based on campaigns managed by The Agency

6.3 All-Inclusive Plans

Unless otherwise agreed in writing:

- The Agency plan covers one brand or account

- All included services are non-refundable once billing period begins

6.4 Cancellation

- Cancel anytime with at least 7 calendar days' written notice

- Email: hello@adtom.ai (Subject: Agency Cancellation)

- Cancellation effective at end of current billing period

- No refunds for unused time

- Access to Agency services continues until end of paid period

6.5 Separate from Adtom App

- Canceling The Agency by Adtom does NOT cancel your Adtom App subscription

- Adtom App subscription continues and is billed separately

- You must cancel Adtom App separately if desired

7. CANCELLATION PROCEDURES

7.1 How to Cancel

To cancel your subscription:

Option 1: Self-Service Cancellation

- Log in to your Adtom account

- Navigate to Account Settings > Billing > Subscription

- Click "Cancel Subscription"

- Follow the prompts to confirm cancellation

- You will receive email confirmation

Option 2: Email Support

- Email: hello@adtom.ai

- Subject: Subscription Cancellation

- Include: Account email, subscription type, reason for cancellation (optional)

- We will process within 2 business days and send confirmation

7.2 Cancellation Effective Date

- Cancellations take effect at the END of your current billing period

- You will retain access to Services until the end of the paid period

- No prorated refunds for unused time

7.3 What Happens After Cancellation

Upon cancellation effective date:

- Access to Services terminates

- Your data is retained for 30 calendar days (unless you request immediate deletion)

- After 30 calendar days, data may be permanently deleted

- You may reactivate your account within 30 calendar days by contacting support

- Reactivation after 30 calendar days may not recover deleted data

7.4 No Refunds Upon Cancellation

Canceling your subscription does NOT entitle you to a refund of fees already paid.

8. DOWNGRADES AND UPGRADES

8.1 Upgrades

- Upgrade to a higher plan anytime

- Prorated charge for the difference between plans for remaining billing period

- New plan rate applies at next renewal

8.2 Downgrades

- Downgrade requests are processed at the end of your current billing period

- No refunds or credits for the difference between plans

- Access to higher-tier features continues until the end of paid period

- Lower-tier plan and pricing apply starting next billing period

9. PAYMENT DISPUTES AND CHARGEBACKS

9.1 Contact Us First

Before initiating a chargeback with your bank or payment provider:

- Contact hello@adtom.ai to resolve the issue

- Provide details of the disputed charge

- We will investigate and work to resolve disputes within 10 business days

9.2 Chargeback Consequences

If you initiate a chargeback:

- Your account will be immediately suspended

- We may pursue collection of the disputed amount plus chargeback fees

- We may terminate your account permanently

- You may be banned from future use of Adtom services

- We may report the chargeback to fraud prevention services

9.3 Chargeback Fees

If a chargeback is initiated and later reversed in our favor:

- You will be charged a chargeback processing fee (typically $25-$50 USD)

- You will be required to pay the original amount plus the fee to reactivate your account

9.4 Legitimate Disputes

If you have a legitimate billing dispute:

- Email hello@adtom.ai with details

- We will investigate and resolve within 10 business days

- If we find an error, we will refund or credit your account

10. PRICE CHANGES

10.1 Notice of Price Changes

We may change subscription pricing at any time. Price changes will be communicated:

- Via email to your account email address

- In-platform notification

- Posted on www.adtom.ai/pricing

10.2 Effective Date

Price changes take effect:

- For new customers: Immediately

- For existing customers: At your next renewal date

10.3 Grandfathered Pricing

If we increase prices:

- Your current rate is honored for the remainder of your current billing period

- New rate applies upon renewal

- You will receive at least 30 calendar days' notice before renewal at new rate

10.4 Rejection of Price Changes

If you do not agree to a price increase:

- Cancel your subscription before renewal date

- No refunds for the current billing period

11. FAILED PAYMENTS AND ACCOUNT SUSPENSION

11.1 Payment Failures

If a payment fails:

- We will attempt to charge your payment method up to 3 times over 7 calendar days

- You will receive email notifications of failed payments

- Update your payment method immediately to avoid suspension

11.2 Account Suspension

If payment remains unsuccessful after 3 attempts:

- Your account will be suspended

- Access to Services will be terminated

- Your data will be retained for 30 calendar days

- To reactivate, update payment method and pay outstanding balance

11.3 No Refunds for Suspension

No refunds or credits will be issued for time your account is suspended due to payment failure.

12. TAXES AND INTERNATIONAL CUSTOMERS

12.1 Tax Responsibility

You are responsible for all applicable taxes (VAT, GST, sales tax, etc.) unless Adtom is required to collect such taxes.

12.2 Withholding Taxes

If you are required to withhold taxes from your payment:

- You may deduct the withholding amount

- You MUST provide a valid tax receipt within 30 calendar days

- If you do not provide the receipt, the full amount (including withheld tax) becomes due

12.3 Refunds and Taxes

Refunds, if issued, are for the amount paid. We do not refund taxes separately unless required by law.

13. MODIFICATION OF POLICY

We reserve the right to modify this Refund and Cancellation Policy at any time. Changes will be:

- Posted at www.adtom.ai/refunds with a revised "Last Updated" date

- Effective immediately upon posting

- Applied to purchases made after the effective date

Your continued use of Services after changes constitutes acceptance.

14. LIMITATION OF LIABILITY

14.1 No Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADTOM AND AXIOMIQ AUTOMATION PRIVATE LIMITED SHALL NOT BE LIABLE FOR:

- Lost profits, revenue, or business opportunities due to refund denials

- Consequential, indirect, incidental, special, or punitive damages

- Damages resulting from cancellation or non-renewal

14.2 Cap on Liability

Our total liability for refund-related disputes shall not exceed the amount you paid in the 12 months preceding the dispute.

14.3 Third-Party Platform Actions

WE ARE NOT RESPONSIBLE FOR AND WILL NOT PROVIDE REFUNDS FOR:

- Google Ads, Meta Ads, or other advertising platform account suspensions

- Policy violations or enforcement actions by third-party platforms

- Poor advertising performance or ROI

- Third-party billing disputes

15. INDEMNIFICATION

You agree to indemnify and hold harmless Axiomiq Automation Private Limited and Adtom from any claims, damages, or expenses arising from:

- Fraudulent refund requests

- Chargeback disputes that are found in our favor

- Misrepresentation of facts to obtain refunds

- Abuse of refund or cancellation policies

16. DISPUTE RESOLUTION

16.1 Governing Law

This Policy is governed by the laws of India.

16.2 Jurisdiction

All disputes shall be subject to the exclusive jurisdiction of courts in Jaipur, Rajasthan, India.

16.3 Informal Resolution

Before initiating legal action, you agree to:

- Contact hello@adtom.ai to attempt informal resolution

- Provide detailed explanation of the dispute

- Allow 10 business days for good-faith resolution efforts

18. ACKNOWLEDGMENT

BY SUBSCRIBING TO, ACCESSING, OR USING ADTOM, YOU EXPRESSLY ACKNOWLEDGE, AGREE, AND CONFIRM THAT:

 You have read, understood, and agreed to this Refund and Cancellation Policy in full, along with all other applicable policies referenced in the Terms of Service

 All subscription fees, setup fees, and service fees are final, non-cancellable, and non-refundable, except where a refund is expressly mandated by applicable law

 You understand and agree that cancellation does not entitle you to any refund, partial or otherwise, for any unused portion of the subscription period

 You agree to follow the defined cancellation procedures, notice requirements, and timelines, and acknowledge that failure to do so may result in continued billing

 You waive any right to initiate chargebacks, disputes, or payment reversals without first contacting Adtom support and allowing a reasonable opportunity for resolution

 You acknowledge that advertising performance, outcomes, revenue, leads, conversions, ROAS, or any business results are not guaranteed and shall not constitute grounds for refunds, credits, or claims of any kind

 You acknowledge and agree that actions, policies, suspensions, billing practices, downtime, or enforcement decisions by third-party platforms (including but not limited to Google Ads, Meta Ads, e-commerce platforms, or payment gateways) are outside Adtom’s control and do not create refund eligibility

 You expressly acknowledge and agree that all third-party platform charges, including but not limited to advertising spend, platform fees, transaction fees, commissions, taxes, or penalties, are solely your responsibility, are independent of Adtom’s fees, and shall not be reimbursed, offset, or claimed from Adtom under any circumstances

 You agree that this acknowledgment survives cancellation, termination, suspension, or expiration of your subscription and remains legally binding

 You confirm that you are entering into this agreement voluntarily, without reliance on any representations, guarantees, or promises not expressly stated in Adtom’s written policies

19: NO REFUNDS FOR SECURITY INCIDENTS

NO REFUNDS WILL BE PROVIDED FOR:

- Data breaches, hacking, or unauthorized access

- Exposure of financial information or personal data

- Security incidents affecting your account

- Malware, viruses, or system compromises

- Identity theft or fraudulent use of your information

- Any damages resulting from cybersecurity incidents

ALL SECURITY RISKS ARE ASSUMED BY YOU. Subscription fees are non-refundable regardless of security incidents.
